1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the SaveScout AI application and website (collectively, the "Service"), operated by Kardoxa Labs Inc. ("we", "us", or "our"), a company incorporated in Ontario, Canada, located at 114 Mincing Trail, Brampton, ON L7A 4S8, Canada.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 13 years of age to use the Service. By using SaveScout AI, you represent and warrant that you meet this age requirement. If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You agree to provide accurate and current information when creating your account.
You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms.

4. The Service

SaveScout AI provides tools for personal financial management, including receipt scanning, transaction tracking, budget management, AI-powered financial insights, and voice-based financial assistance. The Service is also available via Siri App Intents (LogExpenseIntent, QuerySpendingIntent, CheckBudgetIntent) on iOS devices. The Service is provided on an "as is" and "as available" basis.

4.1 Not Financial Advice

SaveScout AI is a financial management tool, not a financial advisor. The insights, recommendations, savings suggestions, spending analyses, and any other output generated by the Service — whether by AI or otherwise — are for informational purposes only and do not constitute financial, investment, tax, legal, or professional advice.

You should not rely solely on the Service to make financial decisions. Always consult a qualified professional for financial advice specific to your situation. Kardoxa Labs Inc. is not a registered financial advisor, broker, or tax preparer.

4.2 AI-Generated Content

Certain features of the Service use artificial intelligence to process your data and generate outputs. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying any AI-generated output before acting on it.

4.3 Data Accuracy

The Service extracts data from documents you upload (receipts, bank statements) using automated processing. While we strive for accuracy, extracted data may contain errors. You are responsible for reviewing and correcting your financial data within the app.

4.4 Free and Paid Tiers

SaveScout AI is available in two tiers:

Free tier (permanent): Manual expense entry, transaction list with search and edit, on-device categorization rules, monthly spending totals, and local-only mode. The free tier is uncapped — there is no transaction limit and no credit card is required to use it indefinitely.
Paid tier ($9.99/month or $79.99/year): All free features plus the Scout Voice Agent (30 minutes/month of conversational voice, cloud-powered), Quick Voice Log (Apple on-device speech), bank statement upload and PDF parsing, receipt camera capture, AI-powered categorization, conversational onboarding, weekly reflective check-ins, and Siri App Intents. A 30-day free trial of the paid tier is available to all new users with no credit card required. At the end of the trial, your account automatically drops to the free tier unless you subscribe.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of applicable laws.
Upload documents or data that you are not authorised to share.
Attempt to gain unauthorised access to the Service, other users' accounts, or our systems.
Interfere with or disrupt the Service or its infrastructure.
Use the Service to store or transmit malicious code.
Reverse engineer, decompile, or disassemble any part of the Service.
Use automated systems (bots, scrapers) to access the Service without our written consent.
Resell, sublicense, or redistribute the Service or any of its outputs.
Upload fraudulent or intentionally misleading financial documents.
Use automated voice input or any other method to artificially inflate your recorded voice usage minutes.
Attempt to circumvent, disable, or interfere with the monthly Scout Voice Agent usage cap or the metering system that enforces it.

6. Your Data

You retain ownership of all data you upload to or create within the Service. By using the Service, you grant us a limited, non-exclusive licence to process your data solely for the purpose of providing the Service to you.

Our collection, use, and protection of your data is governed by our Privacy Policy.

You may export your data or delete your account at any time. See our Privacy Policy for details on data deletion.

7. Intellectual Property

The Service, including its design, code, branding, and documentation (excluding your data), is the property of Kardoxa Labs Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.

8. Subscriptions, Payments, and In-App Purchases

8.1 Subscription Plans

The paid tier of the Service is available for $9.99/month or $79.99/year (prices in Canadian dollars). If you subscribe:

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected) via Apple's App Store.
Payment is processed by Apple. We do not receive or store your payment card details.
You may cancel your subscription at any time via your Apple ID settings. Cancellation takes effect at the end of the current billing period — you retain paid access until then.
We reserve the right to change subscription pricing with 30 days' advance notice.
Refunds are subject to Apple's standard App Store refund policy. Contact [email protected] if you have billing concerns.

8.2 Free Trial

New users receive a 30-day free trial of the paid tier. No credit card is required to start the trial. At the end of the trial period, your account automatically converts to the free tier. No charge is made without your explicit action to subscribe.

8.3 Voice Usage Allowance

Paid subscribers receive 30 minutes per month of Scout Voice Agent usage. This allowance resets at the start of each billing period. Usage is metered in real time; you will receive inline notifications at 80%, 95%, and 100% of your allowance. Once your allowance is exhausted, Scout Voice Agent pauses until the period resets or you purchase a top-up (see Section 8.4).

8.4 Consumable In-App Purchases (Voice Top-Ups)

If you exhaust your monthly Scout Voice Agent allowance, you may purchase additional minutes as consumable in-app purchases via Apple's App Store:

+30 minutes — $4.99 CAD
+75 minutes — $9.99 CAD

The following terms apply to consumable top-up purchases:

Top-ups are consumable items, not subscriptions. They are processed by Apple via StoreKit 2.
Top-up credits are non-transferable and may not be shared between accounts.
Top-up credits carry over for 12 months from the date of purchase, regardless of billing period boundaries. Credits are applied after your included monthly allowance is consumed.
Top-up credits are non-refundable except where required by Apple's standard App Store refund policy.
If your subscription lapses, unused top-up credits are preserved and reactivated automatically when you resubscribe.
Top-up credits are forfeited upon account deletion and cannot be restored.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

Kardoxa Labs Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or financial losses arising from your use of the Service.
Our total aggregate liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or CAD $100, whichever is greater.
We are not liable for any decisions you make based on information provided by the Service, including AI-generated insights and recommendations.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

The Service will be uninterrupted, error-free, or secure.
Data extraction from documents will be 100% accurate.
AI-generated insights or recommendations will be correct or suitable for your situation.
The Service will meet all of your requirements.

11. Indemnification

You agree to indemnify and hold harmless Kardoxa Labs Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time if you violate these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. Data deletion following account termination is handled as described in our Privacy Policy.

Additionally:

Consumable voice top-up credits are forfeited upon account deletion and cannot be refunded or transferred.
If you cancel a paid subscription mid-period, you retain paid tier access until the end of the current billing period. No partial refunds are issued for unused subscription days.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of the Province of Ontario, Canada. You consent to the exclusive jurisdiction of these courts.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the version number and effective date at the top of this page and, where appropriate, notify you within the app or by email.

Continued use of the Service after changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service and delete your account.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
